The U-Law Comprehensive Retainer
Here at U-Law, flexibility is a priority and with our retainer packages, there is no exception. We are happy to design a comprehensive retainer package that encompasses the various needs of your SME. This annual retainer will provide a combination of both legal advisory and company secretarial services to address the full plethora of your company’s needs, at a pre-agreed cost
Our comprehensive annual retainer starts from N1,200,000 and we are able to offer flexible payment options. It gives peace of mind and certainty around your legal support and legal budget. Please contact us to find out if this is the most suitable option for your business.
High-level Company Secretarial Services Retainer
This high-level retainer will ensure that all statutory obligations have been complied with and will be a simple means of keeping adequate checks and balances on company law and compliance matters, at a pre-agreed cost.

- Preparation and circulation of notices of general and board meetings;
- Attendance and the preparation of minutes of the following meetings: Board Meetings (or written resolutions in lieu to pass necessary matters) Statutory Annual General Meeting (AGM) relating to ordinary business only
- Maintenance of statutorily prescribed Registers, Company stamps, seals and Minute Books;
- Filing of annual returns and the returns required relating to changes in directors, allotment of shares and change in registered address;
- Attendance at half-yearly meetings on compliance;
- Attestation to and execution of all documents on behalf of the client as may be required by the directors of the client and by law;
- Preparation of board and shareholder resolutions; and
- Advising on the Client’s compliance with applicable rules and regulations in relation to Corporate Governance obligations and the requirements of the Companies and Allied Matters Act, CAP C20, LFN 2004.
Product Launch Package
This retainer is for start-ups that are looking to launch one or more products in the next year. Our U-Lawyers will streamline the legal elements of your product launch and ensure you and your product are sufficiently protected.

- Drafting, negotiating or reviewing agreements in connection with advertising, marketing and promotions of the product;
- Drafting, negotiating or reviewing agreements in connection with supply and distribution of the product;
- Drafting template employment contracts and independent contractor/consultant agreements;
- Providing legal support in connection with the protection of intellectual property including trademark registration; and
- Providing general legal support as it relates to the product launch.
Early-stage Investment Package
This retainer is for start-ups looking to take their businesses to the next level. Our U-Lawyers will assist you with understanding the legal concerns of looking for investments into your start-up and will provide you with simple but effective documentation to ease the process.

- Drafting, negotiating and reviewing relevant agreements and documentation for an investment transaction such as: shareholders agreement; investment agreements; subscription agreements; share purchase agreement; and other related documents.
- Advising on all legal inquiries as it relates to early-stage investment in the company;
- Providing general legal support as may be required in order to complete the early-stage investment
Joint Venture or Partnership Package
This retainer is for start-ups that are looking to enter into joint ventures or partnerships. Our U-Lawyers will keep you abreast of all the legal aspects of your pending arrangement while streamlining the process and protecting your business, its assets and its reputation.

- Drafting, negotiating and reviewing relevant agreements and documentation for the joint venture arrangement including but not limited to: the joint venture agreement; the non-competition agreement; partnership agreement; and memorandum of understanding.
- Assisting with the process of establishing a special purpose vehicle (“SPV”) in connection with the joint venture arrangement.
- Conducting a high-level mini due diligence on the proposed entity the company intends to enter into a joint venture arrangement or partnership.
- Providing general legal support as may be required in connection with establishing the joint venture arrangement or the partnership

What is the difference between the U-Law Blue and U-Law Gold memberships?
While both of these memberships provide full access to the U-Law portal, the U-Law Gold membership includes 3 complimentary documents per month; priorty access and discounted tickets to U-Law events and discounted access to U-Law’s trainings and masterclasses. The Gold membership has to be paid on a quarterly basis in advance.
