A written resolution is a document that outlines the decisions made by the company’s board of directors without convening a board meeting. A resolution is usually made after a meeting of the company’s board of director has been duly convened and held. However, Nigerian company law permits boards of a private company to collectively sign written resolutions in lieu of the meeting.
