The Memorandum and Articles of Association (MemArt) of a company is the document that contains the fundamental conditions upon which a company is allowed to operate. This is the company’s constitution that contains the name of the company, the purpose for which the company was created, if the company is limited by shares, the total amount of money that has been raised by the company in exchange for shares and the particulars of shareholders of the company. It also details the type of company, the members of the company at formation, the shareholding structure of the company and the objects of the company.
